These Terms of Service ("Terms") govern the use of services provided by L&M Digital LLC, operating as L&M Digital Systems ("Company," "we," "our," or "us"). By engaging our services or using our website, you ("Client" or "you") agree to these Terms.

Services

L&M Digital Systems provides marketing, advertising, funnel development, CRM configuration, automation, and lead generation services for ecommerce brands and businesses. Services may include paid advertising management, funnel optimization, and growth system implementation.

Client Eligibility

Our services are intended for business owners and authorized representatives of brands. By engaging services, you represent that you have authority to act on behalf of your business.

Service Scope

Company agrees to provide marketing and growth services as outlined in proposals or agreements. Results may vary based on market conditions, business operations, and external factors outside Company control.

Company does not guarantee specific revenue, sales volume, or business outcomes.

Minimum Commitment

All service engagements require a minimum three (3) month commitment unless otherwise stated in writing. Early termination is not permitted during this initial term.

Fees and Payments

Fees are billed in advance according to the agreed service plan. All payments are non-refundable. Advertising spend is separate from service fees and is paid directly by Client to advertising platforms. Failure to maintain payment may result in suspension or termination of services.

Client Responsibilities

Client agrees to:

• Provide accurate information and access needed for services
• Maintain operational capacity to handle leads or sales
• Comply with applicable laws and regulations
• Respond to leads and opportunities in a timely manner

Company is not responsible for sales processes, customer conversion, or product outcomes.

Intellectual Property and System Removal

All proprietary systems, funnels, automations, workflows, and marketing assets created by Company remain Company intellectual property unless otherwise agreed in writing. Upon termination of services, Company may remove or disable systems, automations, funnels, and related assets from Client platforms.

Third-Party Platforms

Services rely on third-party platforms including CRM tools, funnel builders, Google Ads, and Meta Ads. Company is not liable for platform outages, policy changes, account suspensions, or external service interruptions.

Limitation of Liability

To the maximum extent permitted by law, Company shall not be liable for indirect, incidental, or consequential damages, including lost revenue or business interruption. Total liability shall not exceed fees paid to Company in the preceding three months.

Termination

After the minimum term, either party may terminate services with written notice. No refunds are provided for services rendered or fees paid. Company reserves the right to terminate services for non-payment, misuse, or violation of these Terms.

Governing Law

These Terms shall be governed by the laws of the State of Georgia, United States.
